DaHui Advises J&T Express on Landmark RMB ¥1.183 Billion Deal to Acquire E-commerce Delivery Company Fengwang

In a landmark deal for the global logistics industry, DaHui Lawyers represented and provided full legal services for logistics company, J&T Express (“J&T”), on its RMB ¥1.183 billion (approximately USD $170 million) acquisition of Shenzhen Fengwang Information Technology Co., Ltd. (“Fengwang”), a subsidiary of China’s largest logistics services company, S.F. Holding Co., Ltd. (“SF”). The two parties entered into a Share Transfer Agreement for this transaction on 12 May 2023, with J&T acquiring 100% of the equity in Fengwang.

Founded in Indonesia and operating in 13 countries, J&T provides express delivery throughout the fastest-growing market in the world: Southeast Asia and China. J&T’s network spans thirteen countries, including Indonesia, Vietnam, Malaysia, the Philippines, Thailand, Cambodia, Singapore, China, Saudi Arabia, the UAE, Mexico, Brazil, and Egypt. Fengwang focuses on express delivery for e-commerce businesses and operates in 27 provinces, municipalities, and autonomous regions throughout China.

As J&T’s PRC legal counsel, DaHui provided a full range of legal services for this project. We conducted legal due diligence, reviewed the transaction structure and transaction documents, negotiated the transaction, and more.
